独立董事,不应该只是企业的“警察” 独立董事的工作是什么? 监督管理层? 控制风险? 确保合规? 在危险的时候说“不”? 这些都对。 但如果独立董事只会说“不”,那只发挥了一半的价值。 在最近的新加坡董事协会(SID)董事大会上,吉宝主席、前星展集团CEO Piyush Gupta提出一个让我非常认同的观点: 董事会不能只是“警察”。 董事会还必须参与企业的战略、方向,并创造长期股东价值。 这正好呼应我一直坚持的一个理念: 企业治理,就是让企业跑得更快的“刹车”。 想象一辆法拉利。强大的引擎让它跑得快。但是,如果没有可靠的刹车,你敢开到时速200公里吗?当然不敢。 所以: 好的刹车,不是让车跑得更慢。 而是让你更有信心加速。 企业也是一样。 管理层是引擎,负责推动业务、寻找机会、创造增长。 而好的独立董事,不应该坐在旁边一直喊: “不要!”, “太危险了!”, “不能做!” 真正有价值的独立董事,应该帮助管理层回答三个问题: 会有什么问题? 我们有没有看不到的东西? 这项决定能不能创造长期、可持续的价值? Piyush Gupta还分享了一个很有意思的星展银行案例。一些董事曾表示,他们不知道银行在中东业务上的一些损失。 其实,相关资料已经呈交董事会。问题不是 没有资料 。而是资料太多,重要的信息被埋没了。 这让我想到一个非常重要的董事会原则: 真正的问题,不是我们有没有资料,而是我们有没有看见真正重要的东西。 这正是独立董事能够创造价值的地方。不是只看报告。不是只打勾合规。 而是: 看见别人没有看见的风险。 连接别人没有连接起来的点。 挑战大家习以为常的假设。 所以,我认为一个好的独立董事,必须知道什么时候说: 停 STOP——风险太大,必须停。 缓慢 SLOW DOWN——有些假设,还需要验证。 更重要的是,也要知道什么时候说: 冲 GO——风险已经看清楚,让我们前进。 独立董事不是企业的另一个“警察”。更不是管理层的“橡皮图章”。 他应该是另一双有经验的眼睛,看见管理层可能看不见的东西。 因为真正好的企业治理,不是阻止企业前进。 而是给企业更好的“刹车”,让它跑得更快、更稳、更远。

《牛来效应》:一部“烂片”教会我们的5个人性真相 一部制作粗糙、上映初期几乎无人问津的动画电影《牛来》,竟然逆袭成为现象级电影, 票房突破5000万元人民币 。 为什么? 它真正值得我们思考的,不是“烂片也能赚钱”,而是: 人,是如何创造价值的? 我把它总结为五个“牛来效应”。 1. 不完美效应:不完美反而让人参与 完美让人欣赏, 不完美却可能让人参与 。 《牛来》的粗糙成为话题,大家笑、评论、分享,甚至买票亲自体验。 尤其在AI越来越容易制造“完美”的时代, 真实的人性与不完美,反而可能更加珍贵。 2. 意义效应:人买的不只是产品,而是故事 很多人买《牛来》的票,不只是为了看电影,而是为了参与这个社会话题: “我要亲自看看,它到底有多特别!” 所以,顾客买的不只是你的产品, 更是产品对他的意义。 3. 连接效应:人都希望有归属感 观众一起笑、一起吐槽、一起创造梗、一起分享。 电影是制作人拍的, 但“牛来现象”却是观众共同创造的。 这就是连接的力量: 完美吸引眼球,人性创造连接。 4. 无形价值效应:最值钱的东西,可能不在资产负债表上 《牛来》的故事、真诚、勇气、话题性、归属感、社会参与——这些都是看不见的资产。 不是所有有价值的东西,都出现在资产负债表上。 人甚至可以为原本没有多少价值的东西, 重新赋予巨大的价值。 5. 持续价值效应:爆红不等于竞争优势 《牛来》最容易让人学错的一课,就是: “原来品质不重要。” 错。 新鲜感可以带来流量,话题可以带来票房,但: 爆红,不等于可持续的竞争优势。 人性与不完美可以吸引注意, 真正让价值持续下去的,仍然是内容、品质与实力。 这也是领导者必须思考的问题: 为什么成功?能否复制?有什么风险?这个价值能维持多久? 这时候,战略与企业治理已经悄悄进入了我们的思考。 真正的“牛来效应” 所以, 不要复制《牛来》,要读懂《牛来》。 它真正告诉我们的,是价值如何产生: 不完美 → 意义 → 连接 → 价值 → 持续 AI可以创造越来越完美的作品, 但人,才能赋予意义。 而真正有智慧的领导者,不只是创造价值, 更懂得让价值持续下去。

Follow the Right Time, Follow the Right Order The Yijing Wisdom of 顺时有序 Many failures happen not because we did the wrong thing, but because we did the right thing at the wrong time, or in the wrong order . This is the wisdom behind 顺时有序 : 顺时 — Follow the right timing. 有序 — Follow the right sequence. A seed may be excellent, but planting it in the wrong season produces nothing. The same applies to life and leadership. A good investment bought at the wrong time can lose money. A good idea launched before the market is ready can fail. 顺时有序: 成功的秘诀

  “顺时有序”其实是一套非常实用的人生与管理哲学 ,而且和《易经》的核心思想非常接近。 我会把它解释成四个字: 顺时:知道什么时候做。 有序:知道先做什么、后做什么。 很多人的问题,不是做错事情,而是 对的事情,在错的时间做;重要的事情,用错了次序做。 一、什么叫“顺时”? 《易经》最重要的思想之一就是“时”。 同一件事情,在不同时间做,结果可以完全不同。 种子是好的,土地也是好的,但冬天播种和春天播种,结果不同。 领导也是如此。公司正在危机中,领导最重要的是稳定人心,而不是马上谈宏大的五年愿景。 员工刚犯错误、情绪激动时,你马上严厉批评,他可能只会防御;等他冷静下来再谈,他才听得进去。 投资也是如此。好公司不代表任何价格、任何时候都值得买。 所以: 顺时,不是等待好运,而是看懂时机之后采取适当行动。 这就是《易经》所谓的**“时中”**——行为要符合当下的时与位。 二、什么叫“有序”? 有序,就是万事万物都有发展的次序。 你不能今天认识一个人,明天就要求他完全信任你。 企业也不能还没有好产品,就急着大规模营销;没有现金流,却急着扩张。 领导更不能跳过“理解”,直接要求“执行”。 可以把它简单地表达为: 了解 → 信任 → 行动 → 成果 如果次序颠倒,就容易出现问题。 这与《易经》的 元、亨、利、贞 也很接近: 元 ——开始 亨 ——发展 利 ——产生价值 贞 ——守成、持续 每一个阶段,都有那个阶段应该做的事情。 三、我们每天如何实践“顺时有序”? 我认为最简单的方法,是在重大决定之前问自己三个问题: 第一:现在是不是时候? 不是问这件事好不好,而是问 现在做对不对 。 第二:我现在处于什么阶段? 是应该开始、发展、收获,还是守成? 第三:下一步是什么,而不是最后一步是什么? 很多人的焦虑,就是因为今天站在第一步,却一直想着第十步。 “有序”告诉我们: 不需要一次解决人生,只需要把现在这一阶段做好。 四、它对领导最大的启示 传统管理经常问: What should I do? 我要做什么? 《易经》式领导还要多问两个问题: When should I do it? 什么时候做? 方言电影不再设限,我们真正找回来的是什么? 从2026年9月起,新加坡将取消方言电影在电影院的放映场次限制,只要电影同时提供华语配音版本,并且方言版本配有华语字幕。 那么, 方言真的要回归了吗? 是的。 但可能不是我们想象中的那种回归。我们未必会突然重新在家里讲客家话、潮州话、福建话或广东话。 真正回归的,是更深层的东西: 我们重新寻找自己的根。 更重要的是,我们重新发现了—— 情义。 语言只是载体,文化才是里面的内容 我认为,这项政策改变最大的长期受益者,可能是我们的 年轻一代 。 他们也许永远不会说一口流利的方言。但是,方言可以成为一扇门: 方言 → 阿公阿嬷 → 家族故事 → 祖先 → 中华文化 → 身份认同 当一个年轻的新加坡人问阿公阿嬷: “这句潮州话是什么意思?” 发生的,可能不仅仅是语言的传承。一个故事开始了。故事开始了,价值观也就开始传承了。 这正是方言电影能够为中华文化带来的真正价值。 因为文化,不只是你懂不懂一种语言。 文化,是你懂不懂这门语言背后的价值。 《给阿嬷的情书》让我们重新看见了: 情义。 真、善、美。 家庭责任。感恩。诚信。忠诚。牺牲。 这些价值,也正好与我的**爱的智慧(LQ)**不谋而合: 关爱(Care) 勇气(Courage) 连接(Connection) 所以, 方言只是载体。 人性的价值,才是里面真正的宝藏。 语言会改变。方言也可能逐渐消失。 但是, 情义、真善美,永远不能消失。 也许,这才是真正的 《给阿嬷的情书》效应 。 一部小小的潮州话电影,不只是让我们重新听见一种渐渐远去的语言。 它更让我们重新听见自己的根,重新发现那些值得我们传给下一代的价值。 我们要传承的,不只是方言。 更是方言里面的情义、文化与人性。

From September 2026, Singapore will remove the cap on cinema screenings of dialect movies, provided there is a Mandarin-dubbed version available and the dialect screening carries Mandarin subtitles. So, are dialects coming back? Yes, but perhaps not in the way we think. We may not suddenly start speaking Hakka, Teochew, Hokkien or Cantonese at home again. What is returning is something deeper:  Our desire to reconnect with our roots.  And most importantly, Qing Yi (情义). Language Is the Container; Culture Is What It Carries This is why I believe the greatest beneficiaries of the policy change may eventually be our younger generations.  They may never become fluent dialect speakers.  But dialect can become a doorway: When a young Singaporean asks a grandparent, “What does this Teochew phrase mean?”, something much more important than language transmission can happen.
